These Terms of Service ("Terms") govern your access to and use of the SMS Localhost platform, including the website at sms.localhost.co.zw, the dashboard, APIs, mobile applications, and all related services (collectively, the "Service"), operated by SuperDarkCode Labs (Pvt) Ltd ("we", "us", "our"), a company registered in Zimbabwe.
By creating an account, accessing the dashboard, or using any part of the Service, you ("you", "your", "User") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Eligibility
- You must be at least 18 years of age to use the Service.
- You must be a natural person or an authorized representative of a legally registered business or organization.
- You must not have been previously banned or removed from the Service for violations of these Terms.
- You must comply with all applicable laws in your jurisdiction, including telecommunications regulations and data protection laws.

Account Registration and Security
2.1 Account Creation
To use the Service, you must create an account by providing a valid email address, username, and password. You may also register using supported social authentication providers (Google, GitHub, Microsoft, LinkedIn). You agree to provide accurate, current, and complete information during registration.
2.2 Account Security
- You are solely responsible for maintaining the confidentiality of your login credentials and API keys.
- You must notify us immediately at network@superdarkcodelabs.co.zw if you suspect unauthorized access to your account.
- You are responsible for all activity that occurs under your account, whether or not authorized by you.
- We reserve the right to require password changes if we suspect a security compromise.
2.3 Organizations
You may create or join organizations within the platform. Organization owners and admins are responsible for managing member access and permissions. All members of an organization share the organization's SMS credit balance and contact lists as configured by the organization's administrators.

Acceptable Use Policy
3.1 Permitted Use
The Service is designed for legitimate business and organizational SMS and WhatsApp communication, including marketing campaigns, transactional notifications, and customer engagement. You may use the Service only for lawful purposes consistent with these Terms.
3.2 Prohibited Activities
You agree NOT to use the Service to:
- Send spam or unsolicited messages: You must have prior consent from all recipients before sending messages.
- Send fraudulent or deceptive content: Messages must not contain false, misleading, or deceptive information, including phishing attempts or impersonation.
- Harass, threaten, or abuse: Messages must not contain threats, harassment, hate speech, or discriminatory content.
- Distribute illegal content: Messages must not promote illegal activities, controlled substances, or unlicensed gambling.
- Violate intellectual property rights: Messages must not infringe on trademarks, copyrights, or other IP rights of third parties.
- Engage in number harvesting: You must not collect or scrape phone numbers without consent.
- Circumvent platform controls: You must not attempt to bypass rate limits, credit requirements, or sender ID approval processes.
- Reverse-engineer or exploit: You must not reverse-engineer, decompile, or exploit the Service or its APIs.
- Resell without authorization: You must not resell SMS credits or access without our written consent.
3.3 Content Standards
All messages sent through the Service must comply with:
- The Postal and Telecommunications Regulatory Authority of Zimbabwe (POTRAZ) regulations.
- Applicable anti-spam and electronic communications laws in your jurisdiction and the recipient's jurisdiction.
- Network operator policies and guidelines.
- Our Sender ID guidelines (see Section 5).
3.4 Enforcement
We reserve the right to monitor message content and patterns for compliance. If we determine, at our sole discretion, that your use violates this Acceptable Use Policy, we may suspend or terminate your account, withhold remaining credits, and report violations to relevant authorities.

SMS Credits and Billing
4.1 Credit System
- The Service operates on a prepaid credit system. You must purchase SMS credits before sending messages.
- A single SMS message can contain up to 160 characters and costs one (1) credit. Messages exceeding 160 characters are automatically split into multiple segments (known as multi-part or concatenated SMS), and each segment costs one (1) credit. For example, a 225-character message uses 2 credits (2 segments), and a 481-character message uses 4 credits (4 segments).
- WhatsApp messages may consume credits at the rate displayed on the billing page.
- Credits are purchased in bundles at the prices displayed on the platform at the time of purchase.
- Credits may also be added to your account via redemption tokens provided by authorized distributors or our sales team.
- If a message is found to have been undercharged (e.g., a multi-part message was billed as a single segment), we reserve the right to deduct the owed credits from your balance immediately if sufficient, or from your next credit top-up if insufficient. Details of any such adjustments will be visible on your billing page.
4.2 Payment Processing
- Payments are processed through PesePay, our authorized payment gateway. By making a purchase, you also agree to PesePay's terms and conditions.
- We are not responsible for payment failures, delays, or errors caused by the payment processor, your bank, or your mobile money provider.
- Credits are added to your account only after we receive confirmed payment from the payment processor.
4.3 Refund Policy
- SMS credits are non-refundable once purchased, except where required by applicable consumer protection law.
- If a technical error on our side results in credits being deducted without message delivery, we will restore the affected credits upon investigation.
- Refund requests must be submitted within 14 days of the transaction to network@superdarkcodelabs.co.zw.
4.4 Credit Expiry
SMS credits do not expire while your account remains active. If your account is terminated for violation of these Terms, any remaining credits are forfeited.
4.5 Credit Alerts
We may send email notifications when credits are running low. These alerts are a convenience and we are not liable for failure to send or receive them.

Sender IDs
5.1 Approval Process
- Custom sender IDs must be submitted for approval before use.
- Approval is subject to review by our team and compliance with network operator requirements.
- We aim to process applications within 2 business days but do not guarantee a specific turnaround time.
5.2 Sender ID Guidelines
Sender IDs must:
- Be 3-11 alphanumeric characters in length.
- Accurately represent your business or organization.
- Not impersonate other businesses, government entities, financial institutions, or emergency services.
- Not contain offensive, misleading, or generic terms.
5.3 Revocation & Freezing
We reserve the right to revoke or freeze an approved sender ID at any time if it is found to violate our guidelines, is reported for misuse, or is required by network operators or regulatory authorities. You will be notified via email if a sender ID is revoked or frozen.

Tester Numbers
The platform provides a testing facility that allows you to send messages to verified phone numbers using the platform sender ID without needing an approved custom sender ID.
- A maximum of 3 tester numbers per organization.
- Each tester number must be verified via SMS code before use.
- Tester numbers are intended for development and testing purposes only.
- Messages sent to tester numbers consume credits in the same way as regular messages.

API Access
7.1 API Keys
- You may generate API keys from your dashboard to integrate the Service with your own applications.
- API keys are confidential. You must not share, publish, or embed API keys in client-side code or public repositories.
- You are responsible for all usage incurred through your API keys.
7.2 Rate Limits
API endpoints may be subject to rate limits. We reserve the right to throttle or temporarily block access if usage patterns suggest abuse.
7.3 API Changes
We may modify, deprecate, or discontinue API endpoints with reasonable notice. We will make commercially reasonable efforts to maintain backward compatibility.

Campaigns and Contact Management
8.1 Contact Data
- You are solely responsible for ensuring lawful authority to store, process, and message the contacts you upload.
- You must honour opt-out requests from recipients promptly.
- You must not upload contact lists obtained through scraping, unauthorized purchasing, or any means without direct consent.
8.2 Campaign Delivery
While we make every effort to deliver your messages, we do not guarantee delivery. Delivery depends on factors outside our control, including network availability, carrier policies, and recipient device status.

WhatsApp Integration
The WhatsApp messaging feature is provided as a beta service and is subject to additional terms:
- WhatsApp access requires separate approval and may be limited to selected organizations.
- Your use must comply with WhatsApp's own terms of service and business policies.
- We are not responsible for restrictions, bans, or delivery failures imposed by WhatsApp or Meta.
- WhatsApp features may be modified, limited, or discontinued at any time.

Intellectual Property
10.1 Our Property
The Service, including its design, code, features, branding, and documentation, is owned by SuperDarkCode Labs (Pvt) Ltd and is protected by copyright, trademark, and other IP laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.
10.2 Your Content
You retain ownership of content you create and upload. By using the Service, you grant us a limited licence to process, store, and transmit your content solely for operating the Service.

Service Availability and Warranties
11.1 Availability
We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance or events beyond our control.
11.2 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.
- Our total aggregate liability shall not exceed the total amount you paid to us in the 12 months preceding the claim.
- We are not liable for message delivery failures caused by third-party providers, network operators, or regulatory actions.
- We are not liable for losses arising from unauthorized access to your account due to your failure to maintain credential security.

Indemnification
You agree to indemnify, defend, and hold harmless SuperDarkCode Labs (Pvt) Ltd, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service in violation of these Terms or applicable law.
- Messages you send through the Service, including claims of spam, harassment, fraud, or IP infringement.
- Your violation of any third-party rights, including the privacy rights of message recipients.
- Contact data you upload that was obtained without proper consent.

Account Suspension and Termination
14.1 By Us
We may suspend or terminate your account, with or without notice, if:
- You violate these Terms or our Acceptable Use Policy.
- Your account is associated with fraudulent, abusive, or illegal activity.
- We receive complaints from recipients, operators, or regulatory authorities.
- Your account poses a security risk to the platform or other users.
- Required by law, regulation, or court order.
Upon termination for cause, remaining SMS credits are forfeited.
14.2 By You
You may close your account at any time by contacting us at network@superdarkcodelabs.co.zw. Upon voluntary closure:
- Your access to the dashboard and API will be revoked.
- Your data will be retained for 30 days to allow recovery, then permanently deleted.
- Any remaining credits at the time of closure are forfeited unless otherwise agreed.
14.3 Effect of Termination
Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

Governing Law and Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of Zimbabwe.
- Any disputes shall first be resolved through good-faith negotiation between the parties.
- If a dispute cannot be resolved within 30 days, it shall be submitted to the jurisdiction of the courts of Zimbabwe, seated in Harare.
16
Modifications to the Service and Terms
16.1 Service Changes
We may modify, add, or remove features at any time. We will provide reasonable notice for changes that materially affect your use.
16.2 Terms Changes
We may update these Terms from time to time. When we make significant changes:
- We will update the "Last updated" date at the top of this page.
- We will notify registered users via email at least 14 days before changes take effect.
- If you do not agree to the updated Terms, you must stop using the Service and close your account.

General Provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SMS Localhost regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights or obligations without our prior written consent. We may assign ours without restriction.
- Force majeure: We are not liable for failure or delay due to circumstances beyond our reasonable control, including natural disasters, power outages, network failures, government actions, or pandemics.
